Terms of Service
Effective date: June 22, 2026
These Terms of Service ("Terms") govern your access to and use of the SYNAX platform operated by SYNAX ("we", "us", or "our") at www.synax.cloud. By creating an account or using the platform, you agree to be bound by these Terms. If you do not agree, do not use SYNAX.
1. The Service
SYNAX provides a multi-tenant SaaS platform that combines an AI-powered WhatsApp agent with a clinic management dashboard. Core capabilities include automated patient intake, appointment booking via WhatsApp, staff notifications, conversation management, and a patient medical vault. We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.
2. Account Registration
To use SYNAX, a business must be provisioned by a SYNAX administrator. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@synax.cloud if you suspect any unauthorised use of your account.
Each account is associated with one business. Users are assigned one of three roles — Staff, Admin, or Super-Admin — with corresponding levels of access as described in our platform documentation.
3. Subscription and Payment
Access to SYNAX is provided on a subscription basis. Pricing plans (Basic and AI-Powered) are described on our Pricing page at www.synax.cloud. Subscription fees are billed monthly or annually as agreed at the time of onboarding.
Fees are non-refundable except as required by applicable law or as expressly stated in a separate written agreement. We reserve the right to change pricing with 30 days' notice. Continued use of the platform after a price change takes effect constitutes acceptance of the new pricing.
Accounts with overdue payments may be suspended until payment is received.
4. Acceptable Use
You agree not to use SYNAX to:
- Transmit spam, unsolicited messages, or bulk marketing communications via WhatsApp - Store, process, or transmit data in violation of applicable privacy or data protection laws - Attempt to gain unauthorised access to other tenants' data or to the underlying infrastructure - Use the platform to harass, threaten, or harm patients or any other individuals - Reverse-engineer, decompile, or attempt to extract the source code of the platform - Resell or sublicense access to the platform without written authorisation from SYNAX
We reserve the right to suspend or terminate accounts that violate these restrictions without refund.
5. Patient Data and Your Responsibilities
You (the subscribing business) are the data controller for all patient information collected through your SYNAX account. This includes patient phone numbers, names, appointment records, conversation history, and clinical notes stored in patient vaults. SYNAX acts as a data processor on your behalf.
You are responsible for:
- Obtaining any necessary consents from your patients for using an AI-powered WhatsApp agent to handle their enquiries and bookings - Complying with all applicable data protection laws, including Egypt's Personal Data Protection Law No. 151 of 2020 and any other regulations applicable to your jurisdiction - Ensuring the accuracy of patient data entered or imported into the platform - Responding to patient requests to access, correct, or delete their data
SYNAX provides tools (including patient vault deletion and account deactivation) to help you fulfil these obligations, but ultimate responsibility rests with you as the data controller.
6. AI Disclaimer
SYNAX's AI agent is powered by large language models. While we strive for accuracy and relevance, AI-generated responses may occasionally be incorrect, incomplete, or inappropriate for a given medical context.
You acknowledge that:
- AI responses do not constitute medical advice and must not be relied upon as a substitute for professional clinical judgement - Your clinic is responsible for reviewing AI interactions where patient safety may be at risk - You should configure the human-handoff feature to escalate sensitive cases to a qualified staff member - SYNAX is not liable for clinical outcomes arising from information provided by the AI agent
The human-handoff feature is available on all plans and can be activated at any time from the Settings panel.
7. WhatsApp Usage
Your use of SYNAX's WhatsApp integration is subject to Meta's WhatsApp Business Terms of Service in addition to these Terms. You are responsible for ensuring your use of WhatsApp through our platform complies with Meta's policies, including restrictions on message types, opt-in requirements, and prohibited content categories.
SYNAX is not responsible for service interruptions, rate limiting, or account suspensions imposed by Meta on your WhatsApp Business Account.
8. Intellectual Property
SYNAX and its licensors own all rights, title, and interest in the platform, including the software, design, trademarks, and documentation. These Terms do not grant you any rights to SYNAX's intellectual property except the limited right to use the platform as permitted herein.
You retain ownership of your business data and patient data. By using SYNAX, you grant us a limited licence to process that data solely to provide the service to you.
9. Limitation of Liability
To the maximum extent permitted by applicable law, SYNAX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or relating to your use of or inability to use the platform.
Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to SYNAX in the twelve months preceding the claim.
Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
10. Termination
Either party may terminate the subscription with 30 days' written notice. We may terminate or suspend your account immediately without notice if you materially breach these Terms or if required by law.
Upon termination, your access to the platform will cease. We will retain your data for up to 30 days following termination, after which it will be permanently deleted. You may request an export of your data during this period by contacting hello@synax.cloud.
11. Governing Law and Disputes
These Terms are governed by the laws of the Arab Republic of Egypt. Any dispute arising from or relating to these Terms or your use of SYNAX shall be subject to the exclusive jurisdiction of the courts of Cairo, Egypt.
If you are a consumer in a jurisdiction that does not permit the above choice of law or jurisdiction, your local mandatory consumer protection laws may apply.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the effective date and, for material changes, notify you by email or by a prominent notice within the platform. Your continued use of SYNAX after the changes take effect constitutes acceptance of the revised Terms.
